• All aspects of Real Estate Law (including leasing, acquisitions/sales, redevelopment, development, finance, development incentives, syndication, tax issues, environmental issues, etc).
  • Represented landlords and tenants, both regionally and nationally, in the negotiation/drafting of retail, office, ground, industrial and apartment leases, letters of intent, lease amendments, assignments and termination agreements, guaranties, subordination & non-disturbance agreements, estoppel certificates, work letters, and the handling of landlord/tenant and lease enforcement issues.
  • Real Estate Development including multi-family residential (apartments & condominiums), hotels, mixed-use, single-family residential, retail shopping & strip centers, industrial properties and warehouses, senior assisted-living centers, and office buildings.
  • Involved from 2003-2009 in the acquisition, development and disposition of over 6,000 apartments units, 300 condominium units, 200 townhouses, 200 single-family homes. Also, mixed-use developments, hotels, retail developments, office buildings, senior living centers and warehouses.
  • Negotiation/structuring & documentation of debt and equity financing of real estate projects (land, construction, mezzanine and permanent loans) and handling loan workouts/restructurings.
  • Draft, review and negotiate promissory notes, security agreements, mortgages, and other financing documents
    Real estate acquisitions and dispositions including drafting, reviewing and negotiating purchase/sale agreements, option agreements, letters of intent, deeds, bills of sale, 1031 tax-free exchange documents and other closing documents.
  • Land Acquisition including negotiating/drafting letters-of-intent, option and purchase agreements; performing financial and physical due diligence (review title reports, surveys, environmental site assessments, structural and engineering reports, title insurance issues); site plan approval; interact with local governments re governmental entitlements (TIFs, TDDs, CIDs, tax abatements, etc.), land use matters (including variances, rezoning, special use permits, eminent domain, planned districts, etc.), subdivision (including restrictive covenants and assessment procedures) and condemnation matters; negotiate reciprocal easement agreements, restrictive covenants, access/utility easements, etc.
  • Asset and property management including the performance of financial analysis & due diligence, the preparation of pro-formas and budgets, and the negotiation/drafting of management and operational agreements.
  • Construction law including negotiating/drafting construction, construction management, disbursing and subcontractor agreements and construction exhibits; resolving mechanic’s lien issues and contractor disputes.
  • Capitalization and finance issues including the raising of equity through private placements and public offerings and securities law issues.
  • Negotiate/draft agreements with investors and equity partners including general and limited partnership agreements, limited liability company operating agreements, shareholders’ agreements, joint venture agreements, trusts, TICs, etc. Advise re tax/legal effects of entity formation, dissolution, reorganization, sale, etc.
  • Municipal, tax-exempt and corporate finance including bond transactions.
  • General corporate law (including financing transactions, franchise agreements, equipment leasing, supply and distribution agreements, licensing agreements, employment and deferred compensation agreements, partnership and LLC agreements, shareholders’ agreements).
